Additional Requirements for U.S. Customers: For Customers located in the United States of America (the “US”), you must also represent, warrant, and undertake the following:
5.1. The purchase is exempt from US sales and use tax as a purchase for resale under a valid resale certificate.
5.2. Items acquired will be resold in the ordinary course of business. If you use the items for any purpose other than retention, demonstration, or display while holding them for sale, you must pay sales tax on the items at the time of use.
5.3. You shall collect and remit any applicable US sales and use tax from end customers associated with the resale of the items.

However, if you have violated or threatened to violate the intellectual property rights of DBW or any affiliate or licensor of DBW, DBW reserves the right to seek injunctive or other appropriate relief in any competent jurisdiction and court. The arbitration proceedings will adhere to the UNCITRAL Arbitration Rules and will be conducted by the UAE International Arbitration Centre. One (1) arbitrator will preside over the proceedings. The arbitrator’s decision will be conclusive and binding, and it may be enforced as a judgment in any court with jurisdiction. The arbitration will take place in UAE and will be conducted in the English language. Any documents presented in a language other than English must be accompanied by an official certified English translation. The arbitrator will provide the rationale for the award.
GENERAL
Severability
If any provision within these Terms of Use is considered invalid, void, or unenforceable for any reason, that particular provision will be regarded as separable and will not affect the validity or enforceability of the remaining portions of these Terms of Use.
Delay in Enforcement
No delay or failure to take action under these Terms of Use shall be interpreted as a waiver by DBW or, as applicable, an DBW Party, of any provision within these Terms of Use.
Complete Agreement
These Terms of Use, in conjunction with DBW’s Privacy Policy and any other policies posted on the Site (which may change over time), establish the entire agreement between you and DBW concerning the subject matter discussed herein. This agreement supersedes all prior agreements or representations between you and DBW.
Indemnification
You agree to defend, indemnify, and hold harmless DBW, other DBW Parties, as well as all of our directors, employees, and contractors, against any and all claims, damages, costs, expenses, including legal fees, or other liabilities that may arise from your use of the Site, access to any Content on the Site, any breaches of the covenants, warranties, representations, or agreements within these Terms of Use, or any Submissions submitted by you or any user of your accounts.
